Acenta Group AB has completed the acquisition of the business assets of Padelappen Sweden AB. In connection with the closing, the company has carried out a directed set-off share issue corresponding to the first tranche of the purchase price, amounting to SEK 500,000.
The agreement was originally announced on June 24, 2025, and marks a significant step in Acenta Group’s ambition to build the world’s most complete digital ecosystem for padel.
Strengthening the digital ecosystem
Padelappen is a well-established digital platform designed for players, clubs, and organizers. It offers services such as booking, rankings, tournament management, and system integrations. With more than 18,400 downloads, the app represents a strong user base that further enhances Acenta Group’s digital presence.
The total purchase price amounts to SEK 1.8 million, to be settled in two tranches through newly issued shares. The first tranche of SEK 500,000 has now been completed, while the second tranche of SEK 1.3 million will be settled on March 1, 2026. As part of the agreement, SEK 300,000 has been specifically allocated for further development and integration of Padelappen into Acenta Group’s ecosystem.
Share issue and dilution
To settle the first tranche, the Board of Directors resolved on a directed set-off share issue of 50,200 shares at a subscription price of SEK 9.96 per share. As a result, the total number of shares increases from 4,017,041 to 4,067,241, corresponding to a dilution of approximately 1.23 percent.
The Board justified the deviation from shareholders’ preferential rights by highlighting the financial benefits of paying the purchase price in shares rather than cash. The subscription price was determined through negotiations with the seller and reflects a SEK 40 million valuation of Acenta Group as of June 24, 2025 — a premium of about 39 percent.
